Terms of Service

1. Agreement to Terms

By accessing or using the VDO Studio marketing website at vdostud.com or the VDO Studio platform dashboard at VDO Studio Command Centre, you agree to be bound by these Terms of Service. If you do not agree, please do not use either service.

These terms apply to all users — including free Trial accounts, Solo plan subscribers, and Pro plan subscribers.

2. The Platform

VDO Studio is a personalised video link platform designed for sales professionals. It allows users to create branded, personalised video links that are sent to prospects — each link displays the prospect's name, a personal message, embedded video, and selectable CTA buttons.

The platform includes analytics, real-time notifications, a viewer question box, and team management tools depending on the plan.

3. Accounts & Eligibility

To use VDO Studio you must:

• Be at least 18 years of age
• Provide accurate registration information
• Keep your login credentials secure and confidential
• Not share your account with others (except where VA access is granted via the Pro plan's team feature)

You are responsible for all activity that occurs under your account.

4. Plans & Billing

VDO Studio is currently serving clients at the agency level only. Subscription terms, plan access, and pricing are agreed directly between VDO Studio and each agency partner at the time of onboarding.

Price lock: The rate agreed at the time of subscription is locked for the duration of the engagement without interruption. If VDO Studio updates its pricing, existing subscribers are not affected.

5. Payment Processing

All payments for VDO Studio subscriptions are processed by our third-party payment processor. They are responsible for collecting payment, issuing invoices, handling tax compliance, and processing refunds in accordance with their policies and ours.

6. Acceptable Use

You agree to use VDO Studio only for lawful business purposes. You must not:

• Use the platform to send spam, unsolicited messages, or deceptive communications
• Upload or link to content that is illegal, defamatory, abusive, or infringes third-party rights
• Attempt to reverse-engineer, copy, or resell the platform or its underlying technology
• Use the platform in a way that disrupts or damages our systems or other users
• Impersonate any person or entity
• Collect data about other users without their consent

We reserve the right to suspend or terminate accounts that violate these terms without notice.

7. Your Content

You retain ownership of all content you upload or connect to VDO Studio — including your YouTube videos, brand assets, and message copy. By using the platform, you grant VDO Studio a limited, non-exclusive licence to display and deliver that content to your prospects through the platform's link system.

You are solely responsible for ensuring you have the rights to any content you use on the platform.

8. Prospect Data Responsibility

When you enter prospect contact details (names, emails, phone numbers) into VDO Studio, you are acting as the data controller for that information. You are responsible for ensuring you have the legal right to store and use that data, and that your use complies with applicable laws including GDPR, CAN-SPAM, and local regulations.

VDO Studio processes this data on your behalf as a data processor. We do not use your prospects' data for any purpose other than delivering the platform's features to you.

9. Intellectual Property

The VDO Studio platform — including its design, code, branding, and features — is owned by VDO Studio and protected by intellectual property law. You may not copy, reproduce, distribute, or create derivative works from any part of the platform without our written permission.

10. Availability & Downtime

We aim to keep VDO Studio available at all times, but we do not guarantee uninterrupted access. Scheduled maintenance, updates, or circumstances beyond our control may cause temporary downtime. We are not liable for losses resulting from platform unavailability.

11. Limitation of Liability

To the maximum extent permitted by law, VDO Studio is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform — including lost revenue, lost data, or missed business opportunities.

Our total liability to you for any claim arising from use of the platform is limited to the amount you paid us in the 30 days prior to the claim.

12. Termination

You may cancel your account at any time. We may suspend or terminate your account if you breach these terms, with or without notice depending on the severity of the breach.

Upon termination, your access to the platform ends. Data associated with your account will be deleted within 90 days in accordance with our Privacy Policy.

13. Governing Law

These Terms of Service are governed by applicable law. Any disputes will be resolved in accordance with the laws of the jurisdiction in which VDO Studio operates, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will update the "Last updated" date at the top of this page. For significant changes, we will notify active users by email. Continued use of the platform after changes constitutes acceptance of the updated terms.
